The Nanoxem Code of Ethics and Conduct is a fundamental guide that directs the actions and decisions of all its employees, regardless of location. This code sets out the basic conduct standards applicable globally and aims to ensure that all employees understand the company’s expectations regarding professional, ethical, and legal behavior. In case of doubts about any aspect of the Code of Conduct, employees should consult the company’s responsible parties for clarification.

Violating laws, whether local or international, by any employee can severely harm Nanoxem's reputation and result in significant damage, including financial implications. Nanoxem does not tolerate infractions and is committed to not protecting those responsible, accepting the sanctions imposed by the competent authorities. Violating laws, international or internal standards, can result in disciplinary actions, such as dismissal for employees or termination of contracts with service providers. Such violations may also lead to civil or criminal actions.

In most cases, legal violations can be avoided with proper guidance. Therefore, employees should always seek clarification on the legality and ethics of their actions with the company’s management. Furthermore, it is imperative that all employees report any violations or suspicions of violations of the law or the company’s internal policies. The company ensures that reports will be treated confidentially and that any retaliation against those who report in good faith will be strictly prohibited.

Nanoxem is diligent in complying with all laws related to environmental protection and health, often going beyond legal requirements to improve its processes and reduce impacts. Supervisors are responsible for guiding their teams to ensure compliance with these standards. In the event of incidents or failures, the company must be immediately informed, as well as the competent authorities, in accordance with legal requirements. When necessary, neighbors must be informed about potential emergency measures.

Compliance with Antitrust Laws and Agreements between Competitors

Nanoxem is firmly committed to promoting fair competition and requires its employees to strictly follow all applicable antitrust laws. Practices that restrict competition, such as price-fixing or market-sharing agreements, are strictly prohibited. Agreements between competitors aimed at restricting competition are not allowed, and any exchange of information regarding prices, costs, or market strategies should be avoided. Nanoxem does not accept any actions that undermine the integrity of the market or commercial relationships.

Commitment to Ethics and Combating Corruption

This means treating all partners, including suppliers, customers, and distributors, fairly and objectively, based on criteria such as quality, reliability, and price. Nanoxem employees must not accept or offer gifts, money, or any other benefit that may be interpreted as an attempt to influence business decisions. Additionally, the company explicitly prohibits facilitation payments (bribery to expedite administrative processes), except in cases where refusal would represent a personal security risk to the employee. In such cases, the situation must be immediately reported to management.

Trust, Integrity, and Personal Responsibility

Nanoxem employees must always act impartially, in line with the company’s best interests. Any relationship or personal interest that may affect the objectivity of the employee in their duties should be avoided. Conflicts of interest, whether real or potential, must be reported to management, which will take appropriate measures to avoid or minimize such situations.

Nanoxem is also committed to respecting human rights, following international labor and social standards. The company advocates for freedom of association, non-discrimination, the abolition of child and forced labor, and the promotion of an inclusive and diverse work environment where all employees have equal rights and opportunities.

Nanoxem takes a strict stance on combating money laundering and requires all employees to comply with legal regulations concerning this criminal practice.
